Terms of Service
1. Binding Agreement & Corporate Jurisdiction
This Master Subscription Agreement ("Terms" or "Agreement") is a legally binding contract entered into between you (either individually or on behalf of the corporate entity you represent, "Customer") and Kolerr Lab, Inc. USA ("Company", "Kolerr Lab", "we", "us", or "our").
These Terms govern your subscription to and use of the Auralius enterprise conversational AI voice agent platform, including all associated software, APIs, SDKs, WebSocket media gateways, dashboards, and telephony ingress sockets. By creating an account, accessing our APIs, or utilizing any portion of the service, you explicitly accept and agree to be bound by these Terms.
2. Platform Access & Subscription Tier Quotas
Kolerr Lab grants Customer a non-exclusive, non-transferable, revocable right to access and utilize the Auralius platform strictly in accordance with Customer's selected subscription plan:

3. Telephony Acceptable Use Policy (STIR/SHAKEN & TCPA Compliance)
Customer is strictly responsible for all voice calls initiated or received through Auralius voice agents over public switched telephone networks (PSTN) or SIP trunks. Customer warrants full compliance with all applicable telecom laws, including the Telephone Consumer Protection Act (TCPA), FTC Robocall Mitigation Rules, and STIR/SHAKEN caller ID authentication standards.
Customer shall not use Auralius to initiate unauthorized robocalls, fraudulent caller ID spoofing, debt collection harassment, spam telemarketing, or unlawful audio wiretapping. Any violation will result in immediate API key revocation and account termination without refund.
4. Intellectual Property & Custom Voice Models
Kolerr Lab retains all rights, title, and interest in and to the Auralius platform, Blazil Rust Gateway source binaries, Smart LLM Cost Router algorithms, and associated patents. Customer retains sole ownership of all customer data, proprietary system prompts, uploaded knowledge base documents, and custom voice clone samples.
5. Service Level Agreement (SLA) & 99.95% Availability
Kolerr Lab warrants a 99.95% operational uptime SLA for sub-50ms WebSocket media gateways and API ingress clusters for Pro Scale and Scale Enterprise subscribers. In the event of an unexcused SLA breach, Customer is entitled to service credits calculated against monthly subscription fees.
6. Fees, Billing & Automatic Renewal
Subscription fees are billed in advance on a recurring monthly or annual basis via Stripe. Token overage charges exceeding monthly tier quotas are calculated at the end of each billing cycle at $0.00004 per token. All fees are non-refundable except as explicitly provided in an executed Enterprise Order Form.
7. Limitation of Liability & Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOLERR LAB, INC. USA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OF AURALIUS VOICE AGENTS.
OUR TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO KOLERR LAB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
8. Indemnification
Customer agrees to defend, indemnify, and hold harmless Kolerr Lab, Inc. USA and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, or legal expenses arising out of Customer's breach of the Telephony Acceptable Use Policy or unlawful voice call operations.
9. Term & Termination
This Agreement remains in effect until terminated by either party. Customer may cancel subscription auto-renewal at any time via the Billing dashboard. Kolerr Lab reserves the right to suspend or terminate accounts immediately upon material breach or non-payment.
10. Confidentiality & Security
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses for its own confidential data (and no less than reasonable care). Kolerr Lab maintains SOC2 Type II, TLS 1.3 encryption in transit, and AES-256 encryption at rest.
11. Governing Law & Mandatory Binding Arbitration
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action or proceeding arising under this Agreement shall be settled by binding individual arbitration in Wilmington, Delaware.
